Terms of Service

These Terms of Service ("Terms") govern your use of hottgrowth.com (the "Site") and any products, downloads, newsletters, or services offered through it. The Site is operated by Hott Growth LLC, a New York limited liability company ("Hott Growth," "we," "us," or "our"). By using the Site or buying anything from us, you agree to these Terms.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use the Site or make purchases.

2. Your account and information

You're responsible for the accuracy of any information you give us (including your email address and any shipping or billing details) and for keeping any login credentials secure. If you give us a wrong or incomplete email address, we may not be able to deliver what you bought.

3. License to use the Site

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own non-commercial use. You may not:

• Copy, modify, or create derivative works of the Site
• Scrape, mirror, or republish material from the Site
• Reverse engineer the Site or interfere with its operation
• Use the Site to violate any law or anyone else's rights

4. Intellectual property

The Site and its content (including text, graphics, logos, images, videos, templates, and the underlying code) are owned by Hott Growth LLC or its licensors and are protected by U.S. and international intellectual property laws. "Hott Growth," "HottLine," "Make Ugly Ads," "Billion Dollar Audit Template," and "Haveaclues" are trademarks of Hott Growth LLC.

5. Digital products

We sell digital products, including the Billion Dollar Audit Template. When you purchase a digital product, we grant you a personal, non-exclusive, non-transferable, non-sublicensable license to use it for your own internal business or personal use.

You may not:

• Resell, rent, sublicense, or redistribute the product or copies of it
• Share access credentials or copies with anyone outside your immediate team
• Remove copyright or attribution notices
• Use the product to build a directly competing product

Digital products are delivered electronically (usually as a link to a Google Doc) immediately after checkout. Once delivered, all sales are final except as described in our Refund Policy, which is incorporated into these Terms by reference.

6. Consulting and advisory services

We sell consulting calls and engagements through the HottLine, the audit-call upgrade, and direct consulting arrangements. Booking and payment for those calls is handled by Calendly and our payment processors. By booking, you agree to the scope, duration, and price displayed at the time of booking. Rescheduling and cancellation policies are described on the relevant booking page; cancellations with less than 24 hours notice may not be refundable.

Anything I share during a consulting call is offered as informed opinion and professional guidance, not legal, financial, tax, or compliance advice. You're responsible for the decisions you make in your own business.

7. Newsletters and communications

When you subscribe to the Haveaclues newsletter or otherwise give us your email, you consent to receive emails from us related to the Site, your purchases, and the topics covered by the newsletter. You can unsubscribe at any time using the link in any email or by emailing us.

8. Third-party services and links

The Site uses third-party services (including Beehiiv, Lemon Squeezy, Calendly, Google Analytics, the Meta Pixel, Vercel, Sanity, and YouTube) and may link to other websites. We don't control those services or sites, and we're not responsible for their content, terms, or privacy practices. Your use of them is governed by their own terms.

9. User submissions and feedback

If you submit messages through the contact form, the Agency Finder, or any other form on the Site, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and respond to your submission for the purpose of providing and improving the Site and our services. If you give us suggestions or feedback, we may use them without any obligation to you.

10. Disclaimers

The Site, the newsletter, and all digital products and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Performance marketing involves risk. Nothing on the Site, in the newsletter, in any digital product, or said during a consulting call is a promise or guarantee of any specific result, including ROAS, CAC, MER, revenue, lead volume, or return on ad spend. Your results will depend on your product, market, budget, execution, and many factors outside our control. Examples and benchmarks are for educational purposes only.

11. Limitation of liability

To the maximum extent permitted by law, Hott Growth LLC and its members, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost revenue, lost data, or lost business opportunities) arising out of or related to the Site, the newsletter, any digital product, or any consulting service, even if advised of the possibility of those damages.

Our total aggregate liability for any claim arising out of or related to these Terms or your use of the Site will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100).

12. Indemnification

You agree to indemnify and hold harmless Hott Growth LLC and its members, employees, contractors, and affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party.

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you've breached these Terms or are using the Site in a way that could harm us, other users, or third parties. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Site will be the state or federal courts located in Kings County, New York, and you consent to the personal jurisdiction of those courts. You and Hott Growth LLC each waive any right to a jury trial.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we'll change the "Last updated" date at the top. Material changes will be more prominently noted on the Site. Your continued use of the Site after changes take effect means you accept the updated Terms.
